Welcome to Infusion Agent LLC (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, AI agent installation services, automation solutions, consulting services, SMS communications, and any related digital products or materials (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Eligibility and Use of Services

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, whichever is greater, to access or use our Services. By using our Services, you represent and warrant that you meet this requirement.

You agree to use our Services only for lawful purposes and in compliance with all applicable laws and regulations. You may not misuse, copy, reproduce, reverse-engineer, disassemble, or attempt to extract the source code of any AI systems, workflows, automation structures, prompts, dashboards, scripts, or proprietary deliverables created by Infusion Agent LLC.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access or a security breach.

2. Description of SMS Communications

By providing your mobile phone number and expressly opting in, you consent to receive SMS (text message) communications from Infusion Agent LLC. These messages may include, but are not limited to:

Service-related notifications

Appointment confirmations or reminders

Account updates

Billing alerts

Support communications

Marketing or promotional messages (where separately consented)

Message frequency may vary depending on your interaction with our Services.

Message and data rates may apply according to your mobile carrier’s plan. You are responsible for any fees charged by your wireless provider.

You may opt out of SMS communications at any time by replying “STOP” to any message you receive. After opting out, you will receive a final confirmation message and will no longer receive SMS messages from us unless you re-enroll.

3. Purchases and Payments

All prices for Services are listed in U.S. Dollars (USD) and are subject to change at any time without notice. This includes installation fees, consulting fees, subscriptions, support plans, and digital products.

Payments are processed securely through trusted third-party payment processors such as Stripe or PayPal. Infusion Agent LLC does not store or have access to full credit card numbers.

Unless otherwise stated in writing, all purchases are final.

4. Refunds and Cancellations

Refunds, when applicable, are governed by a separate written Refund Policy if provided. If no separate Refund Policy is issued, all sales remain final.

For subscription or recurring billing services, you may cancel prior to the next billing cycle through your account settings or by contacting [email protected]. Cancellations must be submitted before renewal. We do not provide prorated refunds for partial billing periods unless required by law.

5. Intellectual Property

All AI agent systems, automation workflows, scripts, prompts, frameworks, dashboards, processes, documentation, and training materials created by Infusion Agent LLC remain the exclusive intellectual property of the Company unless otherwise agreed to in writing.

By engaging our Services, you are granted a limited, non-exclusive, non-transferable, revocable license to use deliverables internally within your organization. You may not reproduce, distribute, resell, sublicense, or otherwise exploit our proprietary systems without prior written permission.

You may not use our proprietary frameworks or materials to build or offer competing services.

6. User-Provided Content

If you provide content to us, including but not limited to workflows, SOPs, documents, prompts, credentials, training materials, or feedback, you grant us a worldwide, royalty-free license to use such content solely for the purpose of delivering and improving your Services.

You represent and warrant that any content you provide does not violate applicable laws or infringe upon the rights of third parties. You agree not to submit unlawful, abusive, defamatory, harmful, or infringing content.

7. Disclaimers

All Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

We do not guarantee uninterrupted or error-free operation of AI agents, complete accuracy of AI-generated outputs, compatibility with all third-party tools, or specific business results such as revenue increases or operational efficiency gains. AI systems require ongoing monitoring, testing, and optimization, and results will vary depending on implementation, data quality, and business processes.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, Infusion Agent LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. This includes, without limitation, loss of profits, loss of data, business interruption, AI-generated errors, third-party system failures, or unauthorized access.

Our total liability for any claim arising out of or relating to the Services shall not exceed the amount you paid directly to Infusion Agent LLC for the specific Service giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Infusion Agent LLC, its officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, or expenses arising from your use of the Services, violation of these Terms, misuse of AI systems, or violation of applicable laws.

10. Third-Party Services

Our Services may integrate with or link to third-party platforms, tools, or websites. We are not responsible for the content, availability, accuracy, security, or practices of third-party services. Your use of third-party services is subject to their respective terms and policies.

11. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, with or without notice, if you violate these Terms or engage in conduct that harms the Company or other users.

Upon termination, all rights and licenses granted to you under these Terms will immediately cease.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Sarasota County, Florida.

13. Changes to These Terms

We may update these Terms from time to time. Changes become effective immediately upon posting. Continued use of the Services after updates are posted constitutes acceptance of the revised Terms.
