1. Use of Services

You also agree not to misuse, copy, or attempt to reverse-engineer any AI systems, workflows, automation structures, prompts, or deliverables created by Infusion Agent LLC. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you believe your account has been compromised, you must notify us immediately.

2. Purchases & Payments

All prices for our Services are listed in USD and may change at any time without notice. This includes one-time installation fees, consulting fees, support plans, subscription charges, and any digital products. All payments are processed securely through trusted third-party payment processors such as Stripe or PayPal. Infusion Agent LLC does not store or have access to full credit card numbers. All purchases are considered final unless otherwise stated in writing.

3. Refunds & Cancellations

Refunds, when applicable, will be governed by our Refund Policy if one is provided separately. If no separate Refund Policy is presented, all sales remain final. Cancellations must occur before the next billing cycle, as we do not issue prorated refunds for unused portions of a billing period.

4. Intellectual Property

All AI agent designs, workflow automations, scripts, prompts, training structures, processes, dashboards, and materials created by Infusion Agent LLC remain the sole intellectual property of the Company unless an alternative agreement is made in writing. Any content on our website, inside your deliverables, or within our training materials is protected by copyright, trademark, and intellectual property laws. By engaging with our Services, you receive a non-exclusive, non-transferable license to use our materials internally within your business. You may not reproduce, distribute, resell, or share our proprietary systems outside your organization without written permission. You may not repurpose our proprietary AI frameworks to build competing services.

5. User Content

If you provide us with content—such as workflows, prompts, SOPs, documents, access credentials, training materials, or feedback—you grant us a worldwide, royalty-free license to use that content solely for the purpose of delivering, configuring, and improving your Services. You agree that any content you submit does not infringe on the rights of others and does not violate any laws. You may not upload illegal, abusive, harmful, defamatory, or infringing content at any time.

6. Disclaimers

All Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not guarantee uninterrupted or error-free operation of AI agents, perfect accuracy of AI outputs, specific business results, revenue increases, or that all automations will integrate flawlessly with every third-party tool. AI systems may require ongoing adjustments, testing, updates, and optimization to perform effectively, and actual results will vary depending on your workflows, data, tools, and team.

7. Limitation of Liability

To the fullest extent permitted by law, Infusion Agent LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Services. This includes but is not limited to loss of profits, loss of data, business interruptions, errors generated by AI agents, unauthorized access to your information, or the performance of third-party systems integrated with your AI agent. Our total liability to you for any claim shall not exceed the amount you paid directly to Infusion Agent LLC for the specific Service related to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Infusion Agent LLC, its employees, contractors, officers, and partners from any claims, losses, liabilities, damages, or expenses arising from your use of the Services or any violation of these Terms. This includes damages related to content you provide, misuse of AI systems, or failure to comply with applicable laws.

9. Third-Party Links

Our website and Services may contain links to third-party websites, tools, or platforms. Infusion Agent LLC is not responsible for the content, accuracy, security, or practices of these external sites. Accessing third-party services is done entirely at your own risk, and you are responsible for reviewing their terms and policies.

10. Termination

We reserve the right to suspend or terminate your access to our Services, at our discretion and without prior notice, if we believe you have violated these Terms, misused our systems, or engaged in behavior that harms the Company or other clients. Upon termination, any licenses or access rights granted to you will immediately end.

These Terms are governed by and interpreted in accordance with the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Sarasota County, Florida.

We may update or revise these Terms from time to time. Any changes will take effect immediately when posted on our website. Continuing to use our Services after changes have been posted indicates your acceptance of the updated Terms.
